RtlStudio Terms of Service

Welcome to RtlStudio. By accessing or using our browser-based EDA platform, you agree to be bound by these Terms of Service.

1. Payments, Billing & Refunds

  • Merchant of Record (MoR): Our order process is conducted by our online reseller Lemon Squeezy. Lemon Squeezy is the Merchant of Record for all our orders. This means they handle all payment processing, secure transaction management, tax compliance (VAT/Sales Tax), and the generation of official invoices and receipts.
  • Customer Support for Billing: Any customer service inquiries related to payments, billing errors, or receipt generation should be directed to Lemon Squeezy, though our support team will assist you in the process.
  • Invoices: Official tax invoices are issued by Lemon Squeezy. Through RtlStudio’s Invoice section, you can open the invoice for your current annual subscription while Pro is active (including the remainder of a paid period after you cancel auto-renewal). RtlStudio stores only your current subscription period in our database—not a multi-year payment archive—so in-app invoice access is limited to the active stint. After your subscription ends, earlier invoices may no longer be available through RtlStudio; contact Lemon Squeezy or info@semisgdh.com if you need help locating an invoice for an active subscription.
  • 7-Day Conditional Money-Back Guarantee: If you are not satisfied with RtlStudio Pro, you may request a full refund within 7 days of your initial purchase, strictly on the condition that you have never accessed, viewed, downloaded, or utilized any of our proprietary premium assets (Open IP, Pro lecture tracks, SkyWater sky130 synthesis mapping, and related libraries). This guarantee applies only to your initial Pro purchase—not subscription renewals. Approved refunds are processed through Lemon Squeezy. If a refund is approved, Pro access on that account ends immediately and the account is subject to the repurchase restriction below.
  • Exception for Premium Content (Waiver of Right): Our exclusive digital assets—including, but not limited to, all premium video lectures (e.g., SV, UVM, AXI, and any future additions), Pro-only resource libraries such as the ‘Open IP’ examples, and the SkyWater sky130 synthesis mapping library bundled for Yosys technology mapping—are proprietary content. By accessing, viewing, downloading, or utilizing any of these premium assets, you explicitly consent to the immediate performance of the contract and acknowledge that you permanently waive your right to the 7-day money-back guarantee for that subscription stint.
  • Refund Requests & Account Deletion: If you believe you qualify for the 7-day guarantee (or another refund that applicable law requires), you must submit your refund request while your RtlStudio account is still active and before you permanently delete it. Deleting your account first permanently forfeits refund eligibility, even if you are otherwise within the 7-day window and have not accessed premium content. Account deletion is irreversible; we cannot verify eligibility or process a discretionary guarantee refund after the account no longer exists.
  • Other Refunds (Law Only): Outside the 7-day conditional guarantee, RtlStudio does not offer discretionary refunds, prorated credits, or money-back guarantees on renewals or other charges. Additional exceptions apply only where applicable consumer-protection or other law expressly requires us (or Lemon Squeezy as Merchant of Record) to provide a refund. If you believe such a legal right applies to you, contact info@semisgdh.com with your jurisdiction and order details. Nothing in these Terms limits rights that cannot be waived under applicable law.
  • Locked Annual Price: Your annual renewal price is fixed at the rate recorded for your subscription at checkout (for example, a founding-member rate such as $77/year). While auto-renewal remains active and your subscription has not lapsed, renewals are charged at that locked annual price. Public list prices may change for new customers; your locked price does not change automatically when public pricing changes.
  • Public Pricing Changes: Founding, launch, and standard public prices apply to new subscriptions only. If you cancel or let your subscription expire and later subscribe again, you pay the then-current public price; previous promotional or locked rates do not automatically return.
  • Subscription Cancellation: You may cancel auto-renewal at any time from in-app billing controls (Profile → Danger Zone). Cancellation stops future renewals only. It is not a refund. You retain Pro access until the end of your current paid billing period (current_period_end). If you cancel, there is no 21-day renewal grace after that date—Pro ends when the paid period ends, even if a renewal charge would otherwise have been attempted. Cancelling does not end your locked rate for the current paid period—but after that period ends without resuming, your locked annual price (including any founding or promotional rate) is forfeited permanently; a later checkout uses then-current public pricing.
  • Resume Auto-Renewal: If you cancelled auto-renewal but your paid period has not ended, you may resume auto-renewal before current_period_end. Resume does not charge you on the day you click resume; your saved payment method is charged on your next scheduled renewal date. Resuming restores your existing subscription and keeps your locked annual price (e.g. $77/year for founding members) for that billing stint—it is not a new checkout at public list price.
  • Automatic Renewal: Annual Pro subscriptions renew automatically on each renewal date using the payment method on file with Lemon Squeezy, at your locked annual price unless your subscription has lapsed or these Terms state otherwise. You are responsible for keeping your payment method current.
  • Failed Renewal & 21-Day Grace Period: If your annual renewal charge fails while auto-renewal is still on (you have not cancelled), RtlStudio may keep Pro access for up to 21 calendar days after your current_period_end while Lemon Squeezy retries billing or while you update your payment method. During this window we may show in-app notices prompting you to fix payment. This grace period does not apply if you cancelled auto-renewal—cancelled subscriptions end at current_period_end with no extension. If payment is not recovered before that 21-day deadline, Pro access ends and your locked annual price is forfeited per these Terms. Lemon Squeezy may mark the subscription past_due and retry charges on its own schedule; RtlStudio’s 21-day entitlement window is measured from current_period_end, not from the first failed charge.
  • Updating Your Payment Method (Renewals): You may update the card or payment method on file through Lemon Squeezy—for example via Update payment method in Profile or renewal notices, which opens Lemon’s customer portal in a new tab. RtlStudio does not store full card numbers. This is separate from the restriction below on reversing completed charges.
  • Voluntary Account Deletion: If you permanently delete your RtlStudio account while Pro is active, your app access ends immediately—even if paid time remains on your subscription, that unused period is forfeited and cannot be restored, transferred, or credited. We attempt to cancel auto-renewal with Lemon Squeezy, but deletion does not bring your account or Pro access back; signing up again later is a new account and does not recover your previous subscription term or locked price. Account deletion is not a refund and does not entitle you to prorated credits. If you might qualify for the 7-day money-back guarantee, request a refund before deleting your account—deletion first makes you ineligible. Account deletion is permanent and irreversible. Deleting your account permanently removes your cloud Save-to-Slot workspaces, lecture progress, billing and login records stored for that account, and any public share links tied to those slots. Workspace data that exists only in your browser (not saved to the cloud) is not removed by RtlStudio when you delete your account—you are responsible for local copies before deletion.
  • Payment Errors & Card Changes: It is your sole responsibility to select the correct payment method and billing details at purchase. We do not provide refunds, cancellations, or transaction reversals due to user errors, accidental purchases, or requests to change how a payment that already succeeded was charged (for example, swapping cards after a successful charge). Once a payment is finalized, the transaction is treated as closed except where law requires otherwise. Updating your payment method for a future or failed renewal (see Updating Your Payment Method (Renewals) above) is not a reversal of a completed charge.
  • Abuse Prevention & Refund Ban: Accounts that have received a refund under our 7-day guarantee or through Lemon Squeezy (including a legally required refund) are permanently restricted from purchasing RtlStudio Pro again on that account, to prevent abuse. This restriction applies even if you later sign in with the same identity or create a new workspace under the same account record.

2. User-Generated Content & AI Features

  • Ownership: You retain all intellectual property rights to the hardware design codes (e.g., Verilog, SystemVerilog) you write within RtlStudio.
  • AI Report Feature (Opt-in): If you choose to use the [AI Report] feature, your code will be transmitted to a third-party AI provider solely for analysis. We ensure that zero data retention (ZDR) policies are strictly applied, and your code will never be used to train external AI models.
  • Workspace Data (AS-IS): The ‘Save to Slot’ and ‘Share’ features are provided for convenience on an “AS-IS” and “AS-AVAILABLE” basis. We do not guarantee permanent, complete, or uncorrupted data retention for any cloud save slot. You are solely responsible for backing up your source code locally. We are not liable for any data loss, corruption, or intellectual property disputes arising from your use of the ‘Share’ public link, from third-party hosting or database providers (including Supabase), or from outages, errors, or data loss on their infrastructure. See Free Plan After Pro and Cloud Data & Third-Party Infrastructure below for additional limits when your plan is not active Pro.
  • Free Plan After Pro (not account deletion): If your account is on the Free plan—including after a Pro subscription expires, is cancelled once the paid period ends, fails renewal after any grace period, or ends due to a refund—you may access only the Free cloud save slots (currently slots 1, 2, and 3; the in-product Free slot count may be shown in the app). Any other cloud save slots you used while on Pro (every save slot other than those Free slots, regardless of slot number or how many Pro slots we offer in the future) may remain in our database as a convenience but are not accessible through RtlStudio until you have an active Pro subscription again. While you are on Free, we do not provide an active storage, backup, restoration, or data-integrity service for those Pro-tier slots—you cannot load, save to, rename, delete, or change sharing settings for them, and you must not rely on them as a backup. We do not delete those Pro-tier slot records solely because your plan returned to Free, but we also do not warrant that their contents will remain available, intact, or recoverable if you later resubscribe. Back up any Pro-tier slot data locally before your plan ends. This is different from Voluntary Account Deletion, which permanently removes cloud slots and related data.
  • Public Share Links on Locked Pro Slots: If you enabled public sharing on a Pro-tier slot before returning to Free, that share link may remain publicly accessible to anyone with the URL because we do not automatically change sharing flags when your plan changes—and you cannot turn sharing off while on Free. Public links are provided AS-IS; we are not responsible for continued availability or for copies made by third parties. To stop public access, resubscribe to Pro and disable sharing, or delete your account (which removes cloud slots).
  • Refunded Accounts: Accounts that received a refund under our guarantee or through Lemon Squeezy (see Abuse Prevention & Refund Ban in Section 1) cannot purchase Pro again on that account. Pro-tier cloud slots and Pro lecture progress may remain stored but are permanently inaccessible through RtlStudio on that account. We have no obligation to preserve, restore, or export that data, and the AS-IS and Cloud Data & Third-Party Infrastructure limits in these Terms apply.
  • Lecture Progress on Free: On Free, Verilog lecture progress remains visible. Pro lecture tracks (e.g., SystemVerilog, UVM, AXI, and any future Pro-only curricula) and their stored progress may remain in your account but are hidden and not accessible until Pro is active again. We do not warrant that Pro lecture progress will remain available or recoverable while you are on Free or after a refund. Plan changes alone do not wipe Pro lecture progress, but you should not treat stored progress as a guaranteed backup.
  • Strict Prohibition of Commercial Use (Open IP & Lectures): All source codes, designs, testbenches, and templates provided within our premium lectures and the ‘Open IP’ library are strictly limited to personal educational, learning, and developmental reference purposes. You are strictly prohibited from using, copying, modifying, or integrating these proprietary educational assets for any commercial purposes, mass production (tape-out), resale, or sublicensing. They are provided on an “AS-IS” basis without any verification for commercial usability. RtlStudio and its creators bear absolutely no liability or responsibility for any hardware bugs, manufacturing errors, intellectual property disputes, or financial losses arising from any unauthorized or indirect use of these materials. You assume 100% of the risk when accessing our educational assets.

3. Limitation of Liability & Warranty Disclaimer

  • AS-IS Provision: RTLSTUDIO IS PROVIDED “AS-IS” AND “AS-AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.
  • Critical Warning (Safety-Critical Applications): The Service is intended for educational and development purposes only. DO NOT use this Service for safety-critical, medical, automotive, aerospace, or mission-critical applications where failure could result in injury, death, or severe environmental damage.
  • Limitation of Liability: IN NO EVENT SHALL RTLSTUDIO BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO TAPE-OUT FAILURES, LOSS OF PROFITS, OR LOSS OF DATA IN CLOUD SAVE SLOTS OR LECTURE PROGRESS) ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE.
  • Cloud Data & Third-Party Infrastructure: Cloud save slots, lecture progress, authentication, and related account data are stored using third-party infrastructure, including Supabase (database and authentication). RtlStudio is not responsible for failures, outages, data loss, corruption, unauthorized access, or service interruptions caused by Supabase or any other third-party provider, except where applicable law requires otherwise. Your remedies for infrastructure failures lie with the provider or applicable law—not as an ongoing data-custody obligation by RtlStudio, especially while you are not on an active Pro plan or cannot access locked Pro-tier slots.

4. Acceptable Use, Resource Quotas & Compliance

  • Age Restriction: By using RtlStudio, you confirm that you are at least 16 years of age.
  • Export Control: You warrant that you are not located in, under the control of, or a resident of any country subject to US, EU, or Republic of Korea export embargoes.
  • Prohibited Activities: Using the Service for cryptocurrency mining, automated scraping, reverse engineering WASM modules, imposing unreasonable loads on our infrastructure, or exploiting our premium educational materials (Open IP & Lectures) for commercial gain is strictly prohibited.

5. Open Source Licenses & Credits

RtlStudio’s frontend is completely decoupled from the underlying engines to ensure strict license compliance.

  • Copyleft Licenses (Source Code Available): Icarus Verilog (GNU GPLv2+), Verilator (GNU LGPL v3), Surfer (EUPL 1.2), OpenSTA (GNU GPL v3). Source codes and WASM build scripts are available on our GitHub repositories.
  • Permissive Licenses: Yosys (ISC), Slang (MIT), Verible (Apache 2.0), Clang (Apache 2.0), SkyWater 130nm PDK (Apache 2.0), Z3 Theorem Prover / Viz.js / WaveDrom / Mermaid / Coverage Tools.

6. Termination & Account Suspension

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms (e.g., violating the Acceptable Use policy). Upon termination, your right to use the Service will immediately cease.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify users of any material changes by updating the “Last Updated” date at the top of this document. Your continued use of the platform after any such changes constitutes your acceptance of the new Terms.

8. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the competent courts located in the Republic of Korea.
